Terms & Conditions of Sale

Effective: 1st September, 2016

As of the above date, these terms and conditions of sale supersede all previous terms and conditions.

Textile cleaning solutions Ltd is a trade only organisation supplying business to business.

TCS Ltd Recommended Trade prices (RTP) are shown in the current Textile cleaning solutions Ltd Trade Price List.

Prices and product specifications therein may be subject to change without notice.

PAYMENT TERMS (At the discretion of Textile cleaning solutions Ltd)

Textile cleaning solutions Ltd reserve the right to charge interest on late payments, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Goods will remain the property of Textile cleaning solutions Ltd until paid for in full.

UK Distributors & National Accounts Approved credit accounts only (subject to receipt and approval of credit application form). Payment – Strictly net 30 days from date of invoice.
UK customers without an approved credit account; Payment with order by cash, debit or credit card, bank/building society draft, or clearance by lease/H.P. Company. Company and personal cheques will require clearance prior to goods being dispatched.
Export (EU and International customers) Strictly pre-payment against pro-forma invoice. Any bank fees will be directly applied to the invoice at cost. VAT – For shipments to another EU member state, VAT will not be charged providing an EC VAT registration number is supplied by the consignee of the goods at the time of ordering. Goods supplied to non-EU member states will be zero rated for VAT purposes in accordance with Customs/Excise Notice 275.

CREDIT FACILITIES (UK ONLY)

Credit accounts are subject to receipt and approval of credit application form. Textile cleaning solutions Ltd reserves the right to grant, refuse, or discontinue any credit facilities with immediate effect at any time. The credit limit will be as agreed by Textile cleaning solutions accounts Department. Credit is subject to receipt of official order.

DELIVERY & PACKAGING [Mainland UK]

Free Shipping is applied only to mainland UK areas – other areas will be surcharged as detailed below.

All orders require a signature on delivery. Couriers will not leave goods unless a signature is obtained, or signed instructions are left for the delivery driver authorising the driver to leave in a safe place for storage, liability for the safety of the goods will then transfer to the purchaser.
All prices are quoted are excluding VAT (unless otherwise stated) and are subject to VAT at prevailing rate if applicable.
Any discrepancies/damages must be notified immediately within 24 hours. TCS accept no liability for late deliveries.
Items for return must be authorised first by calling TCS on 01934 521155 and returned with the copy of the purchase invoice. Returned items are subject to a 15% re-stocking charge, must be un-used, undamaged and in original packaging. Unless an error has been made by TCS, all carriage on returned items is the customer’s responsibility. Any carriage charges involved are not refundable and are solely your responsibility. In event of an error by TCS, carriage on replacement goods will be paid by TCS
For purposes of quality control, we do not refund or exchange chemicals. In exceptional circumstances and at the sole discretion of TCS we may offer to exchange products but only if they have been un-opened and returned in their original packaging within 5 working days.
Items remain the property of Textile Cleaning Solutions Limited, until full payment has been received.
Delivery Terms

Most orders received Monday to Friday before 4.00pm are processed the same day. Orders placed after 4.00pm may not be dispatched that day, but the following working day. Delivery is subject to stock availability. If any items are out-of-stock you will be contacted with an approximate date of delivery and given the following options –

To receive your complete order on that date.
Part-ship your order and ship missing items when available. When Part shipments are dispatched due to no stock availability, TCS will cover any additional carriage costs required to complete the order.
Cancel the order without penalty.
If the carrier attempts a delivery of your order and this order is subsequently cancelled, the order is subject to a 15% re-stocking charge and all carriage costs incurred are the customer’s responsibility.

Orders for delivery within England & Wales, Scotland mainland

Orders over £100 excluding VAT – FREE standard 2 working day delivery service.
Orders under £100 excluding VAT – are shipped at carriage cost calculated on whole consignment weight.
Highland Post Codes, and anywhere off-shore will be charged at the cost price of shipping.
Place your order in the usual way via this site. Your order will not be actioned or processed in any way until TCS have calculated the carriage cost and obtained your acceptance of the charge.

  • Please check all deliveries upon arrival. If there is any noticeable damage to the box please sign as ‘damaged’. Please notify us immediately of any damages or missing items.
  • TCS will not accept any responsibility for damaged goods that have not been checked and signed as damaged on delivery.

  • Accepted orders – will be processed with the vat & carriage cost added. Orders will be despatched via the carrier service appointed by TCS.

Delivery Export Ex-works only.

Customer to arrange collection. All forwarding fees and charges for export transactions will be borne by the customer.

Export (Importation) Documents & Costs

The customer is responsible for all duties, charges and outlays levied by any authorities in connection with goods and will indemnify Textile cleaning solutions Ltd against any fines, expenses or losses incurred. Obtaining any import licences, certificates etc. is the responsibility of the customer.

The disposal of packaging materials and pallets is the responsibility of the customer, subject to current regulations.

Distributor responsibility

Textile cleaning solutions Ltd Authorised Distributors are, as the selling agent, responsible in full for the initial training of their customers in the correct use and application of Textile cleaning solutions Ltd chemicals and equipment. Distributors are also responsible for the provision of adequate after-sales-service, maintenance and the administration of any warranty claims (in conjunction with Textile cleaning solutions Ltd Service Department).

WARRANTY REPAIRS & PARTS

We offer a full 12 months parts and labour, return to base warranty on all new machines. Machines must be returned to TCS at your own cost for inspection. Further Terms and Conditions apply; please contact us for full information.

PROMOTION

Textile cleaning solutions Ltd may, from time to time, send customers material or literature, in various forms, promoting or advertising the sale of its goods, or otherwise, which may be sent or communicated by post, or electronic transmission or by other means as Textile cleaning solutions sees fit. The customer acknowledges and accepts this practice.

Textile cleaning solutions Standard Terms & Conditions of Sale apply to all goods and services featured in promotional material.

CANCELLATION

No order may be cancelled without the prior written agreement of Textile cleaning solutions.

If the customer becomes the subject of any act or proceeding under or in connection with the Insolvency Act 1986, or if the customer fails to make payment for goods when due, in accordance with “PAYMENT TERMS” as above, Textile cleaning solutions will be entitled to suspend and cancel all or any future transactions between the parties.

LIABILITY

Liability is excluded for the following with reference to all products, services and advice supplied by Textile cleaning solutions :-

All forms of damage and special damage founded in statute, tort (apart from death and personal injury) and contract law including but not limited to consequential loss, loss of income and losses incurred in reliance of the contract.
As against a person dealing otherwise than as a consumer these terms and conditions exclude any implied term that Textile cleaning solutions products and services will correspond with a description or a product sample.
Textile cleaning solutions shall take all reasonable steps to ensure accuracy of technical information relating to products and services but accepts no responsibility in contract, tort, statute or otherwise for any damages or injury arising directly or indirectly from any act or omission whether or not caused by the negligence of Textile cleaning solutions.
All equipment, machinery, accessories, products, services and advice supplied by Textile cleaning solutions is intended for professional and industrial use only.

SCOPE

All transactions or disputes shall be governed by the laws of England under the jurisdiction of the English courts.

Textile cleaning solutions Standard Terms & Conditions of Sale and other documents override any of the customer’s own terms and conditions. Note that this document does not constitute the entire contract of sale. A copy of the Textile cleaning solutions Machine Warranty is issued subject to the receipt of any such future orders. No additional terms, other than by express written agreement by Textile cleaning solutions, shall be incorporated into the contract of sale. Textile cleaning solutions reserves the right to alter the whole or part of these terms and conditions without notice.
